Terms & Conditions for Independent Consultants of HLC&G,LLC

INDEPENDENT CONSULTANT TERMS I understand that all HLC&G,LLC Independent Consultants (IC's) must be at least 18 years of age and therefore of legal age in the state of which he/she resides.

I am enrolling as a Huckleberry Layne Independent Consultant for $75.00 plus $25 Shipping & Handling.  This enrollment fee includes the Start Up Kit, Business Supplies and access to Huckleberry Layne Wholesale Website.  I will also receive a Username and Password for the HLC&G,LLC website.  I will also receive the HLC&G,LLC monthly newsletter and downline reports.  Consultants will remain in active status by selling $150 every 3 months.  Three month period will be calculated from IC sign up date.

I understand and agree to the Commission Schedule* which is as follows: 

Retail Sales of $      0 - $2000 at $25%

Retail Sales of $2001 - $3999 at 32%

Retail Sales of $4000  and above at 40%

Downline Recuits per recruit @ 2% of Downline Recruits Retail Sales

*Commission schedule will be based on YTD Wholesale Sales to start at $0 on the 1st day of the calendar year. 

I understand and agree that I am an independent contractor responsible for determining my own business activities and time spent and not an agent, employee or legal representative of HLC&G,LLC.  I will not represent in any manner that I am an agent, employee, or legal representative of HLC&G,LLC.  I am responsible for the payment of all federal and state self-employment taxes and any other tax required under any federal, state or regulatory or taxing agency.  I will not be treated as an employee for federal or state purposes.  I will remit applicable sales taxes with each literature, sales tools and/or product order.  

HLC&G,LLC may provide Policies and Procedures and Rules and Regulations for IC's as well as modify its IC Compensation Program and consumer products and prices without prior notice.  Such policies and Procedures and Rules and Regulations and Compensation plan modifications and customer services and charges, and all changes thereto, shall upon notice to IC become a binding part of this agreement.  Publication of such changes in the Huckleberry Layne Newsletter shall be deemed notice to all IC's.  HLC&G,LLC provides the following fulfillment to its IC's:  A new IC packet of sales literature and Start Up Kit; shipment of ordered products and sales tools within ten days of receipt of the order and clearance of funds subject to availability of items ordered; calculation and payment of IC commission.  Payment terms on IC purchases:  Cash, Check, Money Order, Visa, Mastercard with order.  Checks will be accepted from IC only with proper identification and check authorization.  Credit purchases or C.O.D.'s are not available.  IC commissions are paid pursuant to the Huckleberry Layne Compensation Plan, which is incorporated herein by reference.

This agreement shall be deemed in effect upon its receipt and acceptance by HLC&G,LLC at theHuckleberry Layne  office location at:  2298 E 370th Rd,  Louisburg, MO 65685.

This Agreement is governed under the laws of the State of Missouri.  The parties agree that any claim, dispute or other difference between them shall be exclusively resolved by binding arbitration pursuant to the Commercial Arbitration Rules of the American Arbitration Association with arbitration to occur at Springfield, MO.

I am responsible for supporting IC's I recruit.  I agree to maintain support to those IC's in my commissionable downline by way of any of the following, or combination thereof:  personal contact, telephone communication, written communication and attendance at IC meetings.

This Agreement constitutes the entire agreement between the parties hereto, and no other additional promises, representations, guarantees, or agreements of any kind shall be alid unless in writing.

I understand that the purchase of Huckleberry Layne Start Up Kit is mandatory and that the Program includes an Independent Consultant current Retail Products Package and tools. 

There is only one commissionable event for HLC&G,LLC IC's, the obtaining of product purchases from customers.  Neither the sponsoring of a new Huckleberry Layne Independent Consultant nor the purchase of the Start Up Kit results in commissions or bonuses being paid.

As a Huckleberry Layne Representative, you may only utilize literature and sales tools provided by Huckleberry Layne.  You should presume that ony other literature and sales tools that you obtained or which may become available to you are not approved for your use.  To utilize non-HLC&G,LLC literature and sales tools is a violation of Huckleberry Layne Terms and Conditions and may result in your termination as a Huckleberry Layne Independent Consultant.
